1. Agreement and eligibility

By creating an account, accepting an invitation, connecting an application, or using a paid service, you agree to these terms on behalf of yourself and, when applicable, the organization you represent. You must be legally able to enter this agreement and authorized to act for that organization. Users under the age of majority may use an organization-managed service only with appropriate authorization and supervision.

2. Accounts and customer responsibilities

You must provide accurate account information, protect credentials, keep roles current, and promptly report suspected misuse. The customer organization is responsible for its users, content, contact permissions, sender identity, legal notices, and instructions to StudioAnchor. You may not share secrets or access tokens outside their intended workflow.

3. Service and availability

StudioAnchor provides the modules, features, and limits shown in the product or applicable order. Features may evolve. We may perform maintenance, suspend unsafe activity, or change non-material functionality. No uptime service level applies unless a signed order states one. Beta or preview features may be changed or withdrawn and should not be relied on for critical operations.

4. Billing and changes

Paid plans renew on the interval shown at checkout until canceled. Fees, taxes, trial terms, refunds, plan changes, and renewal consequences are governed by the checkout or order terms presented for that purchase. Customers authorize the payment provider to process applicable charges. A plan downgrade may reduce limits or feature access. We will not charge for modules whose pricing is still shown as pending.

5. Customer content and intellectual property

You retain ownership of content and data you submit. You grant StudioAnchor a limited right to host, process, transmit, reproduce, and format that content only to provide, secure, support, and improve the service as permitted by law and the applicable privacy terms. StudioAnchor and its licensors retain rights in the software, designs, documentation, trademarks, and service materials.

6. Acceptable use and third-party services

You must follow the Acceptable Use Policy. Third-party services—including authentication, payment, email, storage, AI, and connected applications—may have separate terms. StudioAnchor is not responsible for a third party’s independent service, changes, or use outside StudioAnchor’s instructions.

7. Suspension and termination

You may stop using the service and cancel paid renewal through the available account or billing flow. StudioAnchor may suspend or terminate access for nonpayment, security risk, unlawful use, material breach, or risk to other customers or the service. Where practical, we will provide notice and an opportunity to cure. Data export and deletion after termination follow the Privacy Policy and any applicable order.

8. Disclaimers

Except for express commitments in a signed order, the service is provided “as is” and “as available” to the extent permitted by law. StudioAnchor does not warrant uninterrupted service, specific business outcomes, legal compliance for a customer’s particular use, or the accuracy of AI-generated suggestions. Users must review outputs and consequential actions.

9. Liability and indemnity

To the extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, goodwill, or data. The production agreement must identify the approved liability cap, exclusions, customer indemnity scope, and procedures; no amount or legal entity is invented in this draft.

10. Governing terms and contact

The production agreement must identify the contracting legal entity, governing law, venue, notice method, assignment rules, severability, waiver, force majeure, and amendment process after owner and legal approval.
